General Terms of Use and Trade
The terms under which you may use this website, send enquiries and enter into transactions with Polkom, a garment accessories manufacturer and wholesaler, as a business customer.
1. General provisions
These general terms govern the use of this website and the commercial relations between Polkom, a manufacturer and wholesaler of garment accessories with its registered office in Sofia, Bulgaria, and its customers. The website is intended for business customers – clothing manufacturers, ateliers, traders and other legal entities and merchants. By using the website and sending an enquiry, you accept these terms.
Specific terms agreed in writing in a quote, an order confirmation or an individual contract take precedence over these general terms.
2. Nature of the website
- The website is an online catalogue and does not conduct online sales. No distance contracts are concluded and no payments are accepted through it.
- The information, photos and descriptions of articles are for information purposes only. Colours on screen may differ from the actual colours, and stock availability changes.
- The published information does not constitute an offer within the meaning of the law. Only a written quote from Polkom is binding.
3. Registration and access
Some of the model galleries are available to registered customers only. Polkom may approve or refuse a registration and may restrict access in the event of a breach of these terms. The customer is responsible for the accuracy of the data provided and for keeping their login details secure.
4. Enquiries and quotes
The customer sends an enquiry via the website form, by email or by phone. On that basis, Polkom prepares an individual quote stating the articles, specification, quantities, prices, payment and delivery terms, and the period of validity of the quote. An enquiry is not binding on either the customer or Polkom.
5. Orders
An order is deemed accepted only after written confirmation from Polkom (by email or other written means). The customer is responsible for the accuracy of the specification – size, colour, material, quantity and logo files. Changes and cancellations after confirmation are possible only with the written agreement of both parties. For articles made to order, cancellation after production has started is not possible unless otherwise agreed.
6. Samples
For new articles and custom production, Polkom may provide a sample. The terms and any price of samples are stated in the quote. The sample approved by the customer serves as the reference standard for bulk production. Deviations in colour and dimensions customary in the industry are permitted, as are natural variations in materials such as corozo, wood, horn and mother-of-pearl.
7. Prices and payment
Prices are set in the individual quote and depend on the article, quantity and specification. Payment terms and deadlines are stated in the quote or on the invoice. Ownership of the goods passes to the customer upon payment in full, unless otherwise agreed.
8. Delivery
Polkom delivers to countries in the European Union. The delivery method, lead times and costs are agreed in the quote. The stated lead times are indicative unless expressly agreed as binding. The risk of loss of or damage to the goods passes at the moment determined by the agreed delivery terms.
9. Acceptance of goods and claims
- The customer inspects the goods on receipt – quantity, visible integrity of the packaging and conformity with the order.
- Visible non-conformities are noted on acceptance and notified in writing without undue delay.
- Hidden defects are notified in writing immediately upon discovery and before the articles are used in production.
- The claim must be accompanied by photos, the order number and a description of the problem.
Where a claim is justified, Polkom shall, at its discretion, replace the articles, supply the missing quantity or refund the corresponding amount. Claims are not accepted for articles that have been attached incorrectly or used in products after the defect was discovered.
10. Custom production and intellectual property
Where the customer provides a logo, trade mark or design, the customer declares that they own the rights to it or are authorised to use it. The customer is liable to third parties for any infringement of their rights. Polkom uses the materials provided solely to fulfil the order and does not disclose them to third parties, except to subcontractors involved in production. Articles bearing the customer's logo are not sold to other parties. Rights in Polkom's own technical solutions, tools and dies remain with Polkom, unless otherwise agreed.
11. Liability
Polkom is not liable for loss of profit or indirect damages, nor for damage resulting from incorrect attachment, use or care of the articles. The customer is responsible for checking the compatibility of the accessories with the materials and process used. Polkom's liability is limited to the value of the delivery concerned, to the extent permitted by law.
12. Force majeure
The parties are not liable for non-performance caused by circumstances beyond their control, such as natural disasters, epidemics, military action, strikes, transport disruption or acts of public authorities. The affected party shall notify the other party without delay.
13. Personal data
Personal data provided through the website is processed in accordance with our Privacy Policy.
14. Governing law and disputes
Matters not governed by these terms are subject to Bulgarian law. The parties shall seek to resolve disputes by mutual agreement and, failing that, disputes shall be referred to the competent Bulgarian court in Sofia, unless otherwise agreed.
15. Changes to the terms
